Looks like the Pappas trust could be winding down soon.

 

The FCC greenlighted the WLGA deal to CNZ (Caballero) today. They also greenlighted the KDMI deal to TCT on Feb. 24.

 

Now KCWI's deal was approved on 12/19/14, but that hasn't been finalized as of yet. And the KFXL/NTV deal with Sinclair is still waiting for the greenlight.

Well remember that JSA Attribution Rule that the FCC passed last year, and stations were giving two years to come into compliance?

 

Well the B&C stated this morning, that there's a rider in the new budget bill that would grandfather existing JSAs. Should this deal pass, stations who had JSAs from March 31st of last year wouldn't have to unwind their JSAs for the next TEN YEARS!!!!

 

So a small follow-up to this

At last!! Nearly fifteen months after it was greenlighted by the FCC, the Nexstar acquisition of KCWI is finally DONE!!!

 

It was consummated on Monday.

Also on Monday, KCWI's former sister station KDMI switched from ThisTV to TCT after its sale to Dove Broadcasting, leaving ThisTV without an affiliate in Des Moines.

Okay. Here's another Follow-up.

 

Yesterday, Wheeler spoke to House panel defending his actions about the unwinding of the JSAs. He stated that the JSA rider that was put into place back in December was only for JSAs that were in effect in March 2014, but it didn't include when a station changes hands.

Wheeler said the FCC's position was that the grandfathering of JSAs only applied to those in existence before March 2014 and that JSAs did not convey when a license was transferred, and in fact, the transfer was instead the end of one license and the beginning of a new one.

 

"The precedent at the commission has always been that when a license is sold, and a new license is issued to a new buyer, it is a new license. And the terms and conditions that were once ascribed to the previous license and the previous owner, do not transfer." He said the FCC had held that to be true for 30 years, "across a vast array of cases."

 

He said that when the license goes away, and a new license is issued, the terms and conditions of the "deceased" license don't transfer.

 

I'm not sure what Nexstar is going to do, as they'd asked the FCC to grandfather existing JSAs in their acquisition of MG. And this was before the FCC greenlighted the Gray/Schurz deal, which didn't honor that grandfathered JSA for KDCU (it was conditioned to unwind the JSA within one year).

And here's an interesting read from the Indianapolis Business Journal (posted Saturday) about the M&A Craze, and how one station group isn't following the certain trend like the other groups.

 

I'm surprised they didn't mention the Scripps/Journal merger (which ended last year, but did mention the current portfolio count), even though it they did mention about the Tribune/Local TV deal (which ended over two year ago).

The sale of the final station in the Pappas Liquidated Trust was completed today (5/25).

 

Opelika, AL's WLGA was sold to CNZ Communications, the same owners who also owned former Pappas station WIWN in Wisconsin.

 

So basically say goodbye to Antenna TV and hello to six shopping channels, Sonlife and LATV all packed in nicely pixelated 408i in a blatant pre-auction cashgrab. Still galls me that they threw off WeatherNation for a channel that has three slots on Charter (Sonlife).

That just leaves KAZA-TV 54 (Azteca) in Los Angeles as the last station to remain owned by Pappas. They have an 80% interest while TV Azteca has the other 20%.

Actually TV Azteca no longer have a 20% minority stock interest in KAZA. That's according to this 316 pro forma app back in December. It was approved and closed on January 19.

They earn a slot in the top 5 worst TV groups to work for of all time.

Gray spent $720,000 to acquire various LPTVs from DTV America.

 

They acquired WGEI-LD and W41EJ-D in Enterprise, AL (Dothan market); WIDM-LD and W16CX-D in Panama City, FL; W22EE-D in Rockford; W14DG-D Bowling Green, KY; and K49LC-D in College Station and K31LQ-D Sherman, TX.

 

Could another acquisition and shelling be afoot? A couple of these might be for putting secondary affiliations on LPTVs in HD (like Sherman and Bowling Green), but why acquire more stations in Dothan and Panama City?

Gray is looking to buy some low-power stations from DTVAmerica in Enterprise, AL (2 stations) ; Panama City, FL (2 stations) ; Bowling Green, KY; College Station, TX; Sherman, TX and Rockford, IL.

Enterprise could be used as a repeater for WRGX-LD...or even a standalone CW or MyNetwork station since WTVY covers the market decently.

Panama City could be a stand-alone CW or My7, since they already have WECP-LD and WJHG.

Bowling Green could be a stand-alone FOX that's currently a .2 on WBKO.

Rockford? They only have Justice and AntennaTV on WIFR, so who knows what purpose this would serve, unless they poach ABC or FOX from Nexstar...

College Station could be a low-powered CW station, and Sherman could be their FOX (and maybe one of Lockwood's affilations from KTEN)

Gray has bought more stations of potential interest from large LPTV station owners.

 

In a $470,000 deal with Randall and Adrienne Weiss, Gray picked up two LPTVs in Alexandria, Louisiana, and a third in Monroe; two LPTVs in Meridian, Mississippi; and one station in Branson, Missouri.

 

I'd be very curious to see how Gray uses these (and other LPTV recent acquisitions) They are all in markets where Gray has dominant stations (KALB in Alexandria; KNOE in Monroe; WTOK in Meridian; and KYTV (KSPR) in Springfield. Could their weaker competition in these other markets be cashing out in the Auction?

Bonten is reportedly exploring strategic alternatives for its stations. They're so far-flung it seems like they'd prolly go to several different buyers instead of just one, don't you think?

Raycom could probably swallow them whole without any conflicts, but each of their markets has key conflicts that affects Gray (WITN and WCTI/WYDO/WFXI), Heartland (KRCR/KAEF and KNVN/KVSL) and Cordillera (KPAX and NBC Montana's stations) from a straight buyout. WCYB/WEMT would be good for Gray and Raycom could benefit from the New Bern stations.

When they bought Drewry they picked up stations almost surrounding KTXS/KTXE — Amarillo, Midland-Odessa, Wichita Falls, Waco — and they already owned in Lubbock.

You left out Tyler/Longview, Raycom owns KLTV/KTRE.

Fairbanks stations KXD (CBS) KTVF (NBC) and KFXF (FOX) were sold to Gray for $8million cash.

These are two full-power stations and one low-power station. This would give Gray control of three of the Big 4 affiliations in Fairbanks.

 

There might be a failing-station waiver involved. Could anyone post the link to the paperwork?
