Basically they wont approve it unless Sky News is completely separated from Fox. https://news.sky.com/story/cma-publishes-latest-fox-remedies-for-sky-bid-11314926 The Competition and Markets Authority has published further remedies proposed by 21st Century Fox for its bid to take over Sky. 21CF have now proposed two new alternative remedies to the CMA. The first - ring-fencing of Sky News - would involve the legal separation of Sky News, with all of Sky News' operations being transferred into a new subsidiary (NewCo).
