The entire business world has operated under some misguided theories this past couple of generations. One of them has to do with creative destruction. A lot of people's livelihoods have been ruined in numerous consumer businesses because this mentality has been allowed to run rampant throughout our economy. It has killed the broadcast industry and made it irrelevant (although technology and a multitude of choices is also part of that). There has been a lot of unnecessary sacrifice and disruption in our economy, mostly borne by employees of these takeover targets.

Screw the banksters, I hope this transaction fails.

Just for reference, I am about as pro-business and conservative as they come. But that's not what happens these days. It's very little about building a better mouse trap and all about plundering what someone else built. They decimate every industry they touch and they've been a big part of the reason our economy has been hollowed out. Broadcasting has been destroyed enough by these people.

You're exactly right! And I'm a Social Democrat agreeing with you. So you know this is cold water on the subject.

A few thoughts that I will add: As many pension accounts tie themselves to PE, returns are not as strong as they would be using the stock market or index funds. The only people who make out well in Private Equity are managers at the top. That industry itself is a sham.

Also, given the debt/equity ratio, companies like Sinclair, Gray, Scripps and Nexstar are known as zombie companies. When the debt comes due in the next few years, these businesses will not be able to refinance at a low interest rate and they will default. They have sold their shareholders a bill of good, mainly in economies of scale, that they cannot live up to. Tegna is one of the few groups of their size that can survive because they've intentionally been structured to pay down debt (the balance sheet transfer made when they split with Gannett).

As much as I believe this deal is dead, it appears they have extended the deadline for FCC approval to February?

If I were Tegna I would just walk away now and maybe go find a different party to merge with.   This is crazy.   Better yet don't merge at all, invest into your local news product ( ha ha ha Who are we kidding) and just look at this attempted transaction in your rearview mirror.

I know why you say this, but you know that Tegna won't invest more. If the shareholders want to continue to earn dividends, the current structure is ideal. It continues to reduce debt and prioritizes the shareholders.

Mission (and Nexstar) stations are still on Cox cable.  I can confirm WPRI and WNAC are still on Cox in RI.

But Mission Broadcasting stations are still off DirecTV (satellite and stream).

Is there some sort of loophole that Nexstar is exploiting by "directly owning" one station in a market and "Mission Broadcasting" owning a different station in the same market?  For example:

    • in Providence RI Nexstar owns WPRI (CBS) and Mission owns WNAC (Fox).  WNAC airs local news at 10 PM that has the same graphics and on-air talent as WPRI.
    • in Burlington VT Nexstar owns WFFF (Fox) and Mission owns WVNY (ABC).  WFFF airs local news at 10 PM that has the same graphics and on-air talent as WVNY.
    • in Albany NY Nexstar owns WTEN (ABC) and Mission owns WXXA (Fox).  WXXA airs local news at 10 PM that has the same graphics and on-air talent as WTEN.

Currently DirecTV subs in Providence and Albany don't have their local Fox stations but still get the other station in the duopoly.  Burlington market DirecTV subs lost Fox but still have ABC.  And during the Nexstar/Verizon Fios dispute, these markets kept their Fox stations but lost WPRI or WTEN.  This seems very weird and confusing to me.

Hi. Are you new here? Not being condescending; legitimately asking. This Shared Services/Local Marketing Agreement structure of side-care station ownership has been an overarching theme over the last ~decade in the consolidation of station ownership, mainly with Nexstar and Sinclair as the culprits. The FCC has seemed disinclined to prevent this market manipulation, though I would have hoped the Biden Administration had taken a firm stance and unraveled these blatant violations of the ownership rule.

I remember reading the paperwork for the KSFY/KDLT waiver. Granted, that was written to convince the FCC to allow the waiver to approve that deal, but it painted a bleak picture for KDLT under Red River and made it sound like a stand-alone KSFY was hurting as well.

The financials of launching news on a station with no established brand, no network available,  and many hours of programming to fill are yikes.

Not to mention finding a way to staff it. We're in an environment where stations in much larger markets and an established history are struggling to recruit employees. Maybe they do news on the cheap from existing facilities in Fargo with MMJs in Sioux Falls... but still... trying to think about spending that money in 2023. Weird.

Exactly. From a fiscal perspective, buying this station now to create that kind of product at $1.4 Million with these interest rates and without an affiliate certainly makes me question if there are alternative motives.

What is this absolute nightmare of a brand? Where are your eyes supposed to look? How much of this mouthful is going to be used on air? "You're watching CBS News Los Angeles This Morning on KCAL." "KCAL CBS News Los Angeles This Morning starts now." WUT.

There are so many things that I think about this, and so many ways that I know this will go wrong.

  7. "I think it's cliche in our industry to say that our new set is state-of-the-art, but this really is." - Jim Webb, VP General Manager, WHSV-TV.

No Jim. It's not. Either your trying to poke fun at your industry or your trying to take part in the cliche. It can't be both because that would be something only a stupid man would try to do.

Nexstar will have full control in 2024 they got $54 million who wouldn't want to take it I know I would do that deal in a hart beat.

That's assuming they're still solvent by that time, which, given their PE and debt ratios combined with rising interest rates may be an issue by 2024.

Couple of screenshots from my tv (excuse the quality) showing some different angles of the set. Seems that Sports Final has a different background graphic on the monitors.\\

This set is recycling elements from NewsNation. So I think Clickspring designed this.

Here’s a couple of pictures from NEWS 9 This Morning as they talked about the move and new set. Starting tonight at 10 and through all of next week they will have stories on the old building and will debut the new building on Sunday at 5:30 as planned. They also held a dedication ceremony this morning at the new building and had OKC mayor along with owner David Griffin make statements.

I hope that's not the anchor desk. It's not authoritative. It looks temporary and dinky.

KFSN is the farm league for ABC's O&O group, so they don't get a ton of budget to play with. The last set was nearly 16 years old and only received a minor update for the station's HD conversion.

It’s giving KYW vibes with that desk

And even then, this DDG anchor desk is the same as KYW. KFSN can't afford new design concepts.

Yeah, the last set actually had…stuff in it. Granted, I don’t think the brick in KDVR’s old set represented Denver as well as KWGN’s awesome set, but there was at least some sort of identity there. This new set is basically a retread of every other FX/Nexstar set with a bunch of monitors. Even the plexiglass weather center has been done in other markets. More importantly, it’s a set that didn’t need to be built.

I still think this is the best execution I’ve seen of that set, and it actually looks good IMO (especially compared to the sets at WFLA and KRON). It’s also an unnecessary waste of money/resources that could’ve been better spent elsewhere.

Brick like that doesn't age well.

    Here are the important questions:

    • Why is Nexstar willing to invest in a new set that I'm sure is insanely expensive because of the couple hundred displays, when their previous set was only a few years old, and when they're losing tons of air and news staff due to lack of employment mobility and salary increases?

    • Why is a liability like a news set (can't convert into a ratings bump), more important than the local journalism that your station supposedly produces (and when you're vastly underutilizing historic KWGN)?

    • Why is Nexstar satisfied with a station that doesn't care about or understand it's local market by telling spot news, with green Gen Z-ers (in Market 17 - REALLY!?), and a marketing department who can't put together a worthy brand that won't get their vehicles damaged by Coloradoans who HATE Fox News?

    - Nexstar isn't interested in Denver and they are willing to tank their stations here to subsidize a Me-Too Cable News Channel that will never go anywhere. It's disgusting. I'm tired of non-local ownership.
